Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website operated by Sellerkeep LLC ("Sellerkeep," "we," "us," or "our"), including any services offered or described on our site. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our Services.
1. Agreement Acceptance
By using this site and/or signing a proposal ("Proposal") and accepting the terms therein, you represent and warrant that you have read, understood, and agreed to these Terms and have the legal authority to enter into and bind your company, the Client, to them.
Each Proposal entered into between the parties shall be governed by and incorporate these Terms by reference. In the event of a conflict between these Terms and a Proposal, the terms of the Proposal shall prevail.
2. Services Overview
Sellerkeep offers strategic Amazon seller account reinstatement and appeal services ("Services"). These Services are not affiliated with or endorsed by Amazon.com, Inc. ("Amazon").
The Services may include, but are not limited to:
- Amazon seller account suspension appeals
- ASIN reinstatement appeals
- Performance notification responses
- Plan of action development
- Account health monitoring
- Appeal strategy consultation
- Brand registry support
- General account reinstatement support
- Creating and submitting appeals via Seller Central or email
- Making calls to Amazon Account Health Services
- Submitting documentation for appeals
- Case management and escalation
The specific scope of Services for each client will be outlined in the applicable Proposal.
3. Amazon Account Access
To perform our Services, the Client may be required to:
- Grant limited access to their Amazon Seller Central account
- Grant developer-based access via Amazon's API when necessary
- Maintain Sellerkeep's access during the term of service and for up to 30 days post-termination for billing or transition purposes
- Provide necessary account information and documentation
- Maintain communication during the appeal process
4. Confidentiality and Data Use
Each party agrees to keep the other party's confidential information private and secure. "Confidential Information" includes, but is not limited to:
- Client Data from Amazon (e.g., reports, performance data, appeals)
- Proprietary business practices, software features, and internal methodologies
Sellerkeep agrees to:
- Limit access to your account to authorized staff/contractors under similar confidentiality obligations
- Store Client Data securely on internal systems solely for use in performing Services
- Use the same degree of care to protect your data as we do with our own confidential information
5. Client Obligations
As a client, you agree to:
- Provide timely access to account, documentation, and relevant information
- Refrain from interfering with open support cases handled by Sellerkeep
- Not attempt to reverse engineer or replicate Sellerkeep's service methodologies
- Maintain confidentiality of Sellerkeep's proprietary processes and materials
- Provide accurate and complete information about your case
- Respond promptly to requests for additional information
6. Subscription Terms and Refund Policy
All monthly service subscriptions are billed and automatically renew on the day of your enrollment.
Cancellations must be submitted via email no less than five (5) days before your next billing cycle.
Monthly subscription plans may be canceled within the first 30 days of the sale date for a refund of the paid service fee, less a $75 administrative fee and any service costs incurred by Sellerkeep LLC.
All payments are final. Refunds are not offered once services have commenced. Custom terms in signed Proposals will override these standard terms if applicable.
7. Billing and Payments
- Service Fees are billed monthly unless otherwise specified
- Payment is due via credit card or ACH, securely stored in our third-party billing system
- Late payments over 45 days past due will incur a 1.5% monthly interest fee
- Services may be suspended for non-payment
- Additional fees for reinstatements or escalations will be quoted in advance and billed with approval
8. Termination
This Agreement may be terminated:
- By either party with 60 days' written notice prior to renewal
- Immediately for material breach not cured within 30 days
- By mutual agreement
Upon termination, Sellerkeep will retain access for 30 days for administrative purposes unless otherwise requested.
9. No Affiliation with Amazon
Sellerkeep is an independent consulting firm. We are not affiliated with, sponsored by, or endorsed by Amazon.com, Inc. or any of its subsidiaries.
10. Disclaimer of Warranties
While we maintain a 94% success rate, Sellerkeep provides its Services and this website on an "as is" and "as available" basis. We make no guarantees regarding specific outcomes, account reinstatement success, or results from engaging our Services.
We disclaim all warranties, express or implied, including merchantability or fitness for a particular purpose.
11. Limitation of Liability
In no event will either party be liable for:
- Indirect, incidental, or consequential damages
- Lost profits, account loss, sales, ranking, reputation, or data
- Damages exceeding the total amount paid to Sellerkeep in the 90 days preceding the claim
Sellerkeep is not a law firm or CPA. We are not responsible for any legal or tax consequences related to your Amazon account.
12. Indemnification
You agree to defend, indemnify, and hold harmless Sellerkeep from any third-party claims, losses, or damages arising from:
- Your breach of this Agreement
- Your negligence or willful misconduct
13. Arbitration
Any dispute shall be resolved via binding arbitration under the rules of the American Arbitration Association in the State of Delaware. The arbitrator's decision shall be final and binding. Each party shall share in arbitration costs equally.
14. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
15. Relationship and Marketing Use
Neither party shall use the other's name or logo in public marketing materials without prior written consent. Each may refer to the business relationship in private one-to-one communications.
16. Text Message Terms
By providing your phone number and agreeing to these Terms, you expressly consent to receive text messages from Sellerkeep LLC related to your Amazon seller account services.
Consent
Your consent to receive text messages is not required to make a purchase. When you opt-in to our text message service, you acknowledge that:
- You are the owner or authorized user of the mobile device you provide
- You are authorized to approve any associated message and data charges
- You understand that automated technology may be used to deliver messages
- Your consent remains valid until you opt out
Message Frequency and Charges
Message frequency varies based on your account activity and service needs. Message and data rates may apply. Check your mobile plan and contact your carrier for details. You are responsible for any messaging charges incurred.
Supported Carriers
Our text messaging service is supported by most major wireless carriers, including but not limited to AT&T, T-Mobile, Verizon, Sprint, and their affiliated carriers. We cannot guarantee availability or delivery of messages.
Opt-Out and Support
You may opt-out of text messages at any time by replying STOP to any message. After you submit STOP, we will send one final message confirming your opt-out. For support, reply HELP to any message or email help@sellerkeep.com.
Changes to Text Message Terms
We reserve the right to modify these text message terms at any time. We will notify you of any material changes via text message. Your continued use of our text message service after such notification constitutes your acceptance of the modified terms.
17. Miscellaneous
- This Agreement does not confer IP rights unless expressly stated
- If a term is invalid, the rest of the Agreement remains enforceable
- Proposals override these Terms where conflicts exist
- Failure to enforce any term does not constitute a waiver
The following sections survive termination: Confidentiality, Payments, Limitations of Liability, Indemnification, Arbitration, and Governing Law.
